The Executive Board of Apator SA announces that on 27th May 2019 the Supervisory Board of the Issuer appointed on 28th May 2019 the Executive Board of Apator SA for the new joint term of office in 2019-2022.

The Executive Board of Apator S.A. of the next term of office will act in the following two-person composition:

- Mirosław Klepacki – President of the Executive Board,

- Arkadiusz Chmielewski – Board Member.

The Issuer publishes below the curricula vitae of the appointed Executive Board Members:

Mirosław Klepacki:

Mr Mirosław Klepacki is a graduate of the Faculty of Business Management at the Faculty of Economics and Management of the Nicolaus Copernicus University in Toruń. In the years 1979-1986 he studied at the Faculty of Electrical Engineering of the Gdańsk University of Technology (specialization: Automation and Electrical Metrology). During his several years stay in Germany, where he managed his own business, he also graduated from the Computer Academy in Hamburg (1990).

Mr. Mirosław Klepacki is a Polish and German citizen and is fluent in both, German and Russian. He has been with Apator SA since 1996. Initially he was responsible for development of export. Since 2010 he has been the Director for Switchgear division and since 2011 he has also been the proxy of Apator SA.

In addition, Mr. Mirosław Klepacki:

- since January 2018 he has been the Chairman of the Supervisory Board of Apator Elkomtech SA

and Member of the Supervisory Board of Apator Powogaz SA,

- in the period from February 2017 to the end of 2017 he was the Chairman of the Supervisory Board of Apator Control sp. z o.o.

- in the years 2006 - 2017 he was the President of the Management Board of Apator GmbH with the seat in Germany.

Mr Mirosław Klepacki does not run any competitive business to Apator SA and he is not involved in any competitive business as a partner in civil law partnership or other partnership and he is not a member of the governing body of any competitive capital company and he is not involved in any other competitive legal entity as a member of its governing body.

Mr Mirosław Klepacki is not listed in the Register of Insolvent Debtors, kept by virtue of the National Court Register.

Arkadiusz Chmielewski:

Mr. Arkadiusz Chmielewski is a graduate of the Faculty of Mechanical Engineering at the Gdansk University of Technology. Since 1993 he has been associated with Apator Metrix SA, where he was responsible for restructuring processes of the company, development and optimization of the product portfolio, implementation of new gas metering technologies and expansion into foreign markets. Since 2002, he has been the President of the Management Board of the company and will continue to do so.

He also sits on the Board of Directors of George Wilson Industries Ltd., a subsidiary of Apator Metrix SA.
Mr. Arkadiusz Chmielewski does not run any competitive business to Apator SA and he is not a partner in any competitive civil or general partnership, he is not a member of a governing body of a competitive company and he is not a member of any other competitive legal entity as a member of its governing body. Mr. Arkadiusz Chmielewski is not listed in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register.
