Apator SA announces that on 26 June 2025 the Supervisory Board of the Issuer appointed the Executive Board of Apator SA for a new common 3-year tenure ending on the day of the Ordinary General Shareholders Meeting of Apator SA to be held in 2028.

The Management Board of Apator SA will operate in the following two-person composition:

• Maciej Wyczesany - Chief Executive Officer of Apator Group,
• Łukasz Zaworski - Member of the Executive Board, Director of Product Development.

Biographical note of Maciej Wyczesany

Maciej Wyczesany is a graduate of economics at the Nicolaus Copernicus University in Toruń and of the IMD program - Digital Disruption in Business. Mr Maciej is a manager with over 25 years of experience gained in industrial entities with both Polish and international capital. From 2009 to 2022, he held the position of CFO and Member of the Management Board at DOVISTA Polska Sp. z o.o., a member of the Danish VKR group producing window and door joinery, which includes Velux. From 2006 to 2009, he served as CFO and chief accountant at Gunnebo Industries, a construction company belonging to the Swedish group. He was responsible, among other things, for merger and acquisition processes and investment processes related to increasing the company's value. He directly managed the areas of finance, controlling, HR and IT. Furthermore, he carried out tasks related to the development and implementation of company strategies, team building and organizational culture change processes. In earlier years, Maciej Wyczesany gained professional experience as a finance and accounting manager and financial controller.

Since March 2023, he has been at the head of Apator S.A., which forms an international capital group; he is also on the Supervisory Boards of companies in Apator Group for closer ownership supervision.
Areas of responsibility:

• setting directions and operationalizing the strategy of Apator S.A. and Apator Group,

• supervision of the companies in the Apator Group and consolidated financial results,

• conducting the matters of the Management Board of Apator S.A. and managing its works according to the Polish Commercial Companies Code, the Statute of Apator S.A. and internal regulations binding in Apator S.A.,

• supervision of the following areas: finance, purchasing, production, technology, marketing and sales at Apator S.A., investor relations, communication and PR.

Maciej Wyczesany does not run any competitive business to Apator SA, he is not a partner in any competitive civil law partnership, he is not a member of the body of competitive corporation, and he is not in other legal person as member of its body.

Maciej Wyczesany is not registered in Insolvent Debtors Register kept based on Act on National Court Register.

Biographical note by Łukasz Zaworski

Łukasz Zaworski is a graduate of the Faculty of Technical Physics at the Nicolaus Copernicus University and received the degree of Doctor of Technical Sciences in the field of electronics at the Wrocław University of Technology. In addition, he completed postgraduate Executive MBA studies at the Warsaw School of Economics.
Mr Łukasz has been associated with Apator S.A. since 2011. Initially, he worked as a manager of R&D projects, and since 2018 he has been the Director for Development of Apparatus and Measurement Systems and Research and Development Representative in Apator Group. Since November 2023, he has been part of the management board of Apator SA.

Mr Lukasz is an expert in the electricity metering industry, co-creator of the development of the meter offering and related products, with many years of experience in managing R&D and market needs analysis teams. He is responsible for product and market innovations and the improvement of the offer. He is also a long-standing member of Supervisory Boards of companies in Apator Group. Furthermore, he is also on the Board of Directors of the Danish company Apator Miitors ApS, which is a research and development unit working on ultrasonic technology in the area of water and heat metering.
Areas of responsibility:

• performance of strategy of Apator S.A. in the scope of development of new and existing products,
• cooperation with sales departments in the scope of market needs, analyses and market trends as well as plans for development and commercialisation of products,
• supervision over design and implementation of new products to the production and market,
• coordination of product development strategy at the level of Apator Group,
• coordination of R&D budgets and optimisation of the use of resources of Apator Group,
• area of sustainable development and supervision over performance of ESG strategy.

Łukasz Zaworski does not run any competitive activity to Apator SA, he is not a partner in any competitive civil law partnership, he is not a member of the body of competitive corporation, and he is not in other legal person as member of its body.

Łukasz Zaworski is not registered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register.
