The Management Board of Apator SA announces that on 29 June 2022 the Supervisory Board of the Issuer appointed the Management Board of Apator SA for a new common 3-year tenure, ending on the date of the Ordinary General Meeting of Apator SA to be held in 2025.

The Management Board of Apator SA will operate in the following two-member composition:

1. Arkadiusz Chmielewski - President of the Management Board, Business Development Director of the  Apator Group,
2. Tomasz Łątka - Member of the Management Board, General Director of Apator SA.

Below the Issuer provides the resumes of the appointed Board Members.

Biographical note - Arkadiusz Chmielewski:

Arkadiusz Chmielewski is a graduate of the Mechanical Department of Gdansk University of Technology. Since 2019, he has been a member of the Management Board of Apator SA responsible for business development of the Apator Group. Since November 25, 2021, he leads the Management Board of Apator SA acting as the President of the Management Board.

In the years from 1993 to 2021, he was primarily associated with the gas industry and with Apator Metrix SA of Tczew (a subsidiary of Apator SA), which manufactures gas meters. In his positions there, he was responsible for, among other things, the company's restructuring processes, development and optimization of its product portfolio, implementation of new gas metering technologies and expansion into foreign markets. From 2002 to 2021, he served successively as Member of the Management Board and President of the Management Board of this company.

In addition, for more than two years Arkadiusz Chmielewski has also been associated with the Water and Heat industry, where he initially served on the Board of Directors of Apator Powogaz SA (a subsidiary of Apator SA), which manufactures water and heat meters, and has been a member of the Supervisory Board since 2021. At the same time, Arkadiusz Chmielewski served on the Supervisory Board of Apator Telemetria sp. z o.o., which is a subsidiary of Apator Powogaz SA.

Since January 2022. Arkadiusz Chmielewski also serves as a member of the Supervisory Board of Apator Rector Sp. z o.o., a subsidiary of Apator SA, which is a manufacturer of IT products and services that support and automate the handling of business processes, in particular dedicated to network enterprises such as the power industry.

Arkadiusz Chmielewski does not run any competitive activity to Apator SA, he does not participate in any competitive company as a partner of civil or any other partnership, he is not a member of a body of a competitive capital company and he is not a member of a body of any other competitive legal person.
 
Arkadiusz Chmielewski is not listed in the Register of Insolvent Debtors, maintained pursuant to the National Court Register Act.

Biographical note - Tomasz Łątka:

Tomasz Łątka graduated from the Mechanical Engineering Department of the Faculty of Mechanical Engineering at the University of Technology and Agriculture in Bydgoszcz. In addition, he earned a master's degree in Business Management from the Faculty of Economic Sciences and Management at Nicolaus Copernicus University in Toruń and completed postgraduate Executive MBA studies at the Warsaw School of Economics.

Tomasz Łątka has been associated with Apator SA since 2003, at first he worked in the position of switchgear designer in the R&D department, then as a Product Manager, and since 2010 he has been acting as a directorial positions.

In addition, Tomasz Łątka:

• in 2017, he served on the Management Board of Apator Elkomtech SA, and from 2018 to 2.01.2022 he served as President of the Management Board of this company. Apator Elkomtech SA, a subsidiary of Apator SA, deals with design and manufacture of remote supervision and control systems for elements of the power grid. The company has been incorporated into Apator SA since January 3, 2022.
• from 2019, is a member of the Supervisory Board of Apator Rector Sp. z o.o., a subsidiary of Apator SA, which is a manufacturer of IT products and services supporting and automating the handling of business processes, in particular dedicated to network enterprises such as the power industry.
• on 01.09.2020 he was appointed to perform the function of Member of the Management Board of Apator SA, Director for Automation of Network Operation, while from 01.12.2021 he is Member of the Management Board, General Director of Apator SA.

Tomasz Łątka does not run any competitive activity to Apator SA, he does not participate in any competitive company as a partner of civil or any other partnership, he is not a member of a body of a competitive capital company and he is not a member of a body of any other competitive legal person.

Tomasz Łątka is not listed in the Register of Insolvent Debtors, maintained pursuant to the National Court Register Act.
