The Management Board of Apator SA („ the Issuer”) announces about confidential information below which disclosure was postponed by the Issuer on 1st June 2015.

„Subsidiary of the Issuer – Apator Metrix SA has been conducting the advanced negotiations with Flonidan A/S, aiming at conclusion of the supply contract of gas meters to the Dutch market. The sales will be performed in result of the tender invited by Liander NV, where Flonidan A/S was selected as one of the suppliers. The tender covers the supplies of gas meters for the period of 5 years since 2016.”

The Management Board of Apator SA („the Issuer”) announces that in result of the above negotiations the parties have decided to conclude the contract which subject is the supply of the above gas meters. If the contract with Flonidan A/S is signed then based on it Apator Metrix has to supply gas meters of total estimated value of       EUR 28 m for 5 years. Currently the parties agree the details of the contract.

Further to advanced stage of negotiations there is no justification for further hereby information to be postponed. The information on conclusion of the contract the Issuer will announce by separate current report.

Notification of the postponement to fulfil the obligation regarding the information was primary transferred through DIA-S delivery channel in reports: no 5/2015 P dated 1st June 2015 that postponed the information until 31st August 2015, no. 8/2015 P dated 31st August 2015 that postponed the information until 14th October 2015 no. 9/2015 P dated 14th October 2015 that postponed information until 15th December 2015.

The Management Board of Apator SA ("the Issuer") acting based on art 57 para 1 of the Act dated 29th July 2005 on public bid and conditions of introduction of financial instruments to organized trading system and on public companies (Dz. U. No. 184 item 1539 with later amendments) ("Act"), in connection with § 2 para 1 point 1 of Resolution of Minister of Finance dated 13th April 2006  on kind of information that can infringe legitimate interest of the Issuer and proceeding of the Issuer concerning the postponement of announcement the confidential information (Dz. U. No. 67, item 476 with later amendments), advises about the postponement of the fulfilment of the obligation mentioned in art. 56 para 1 point 1 of the Act, referred to confidential information regarding negotiations being conducted by the Issuer.

The postponement of disclosure of the above confidential information is reasonable due to the fact that its current announcement could infringe legitimate interest of the Issuer since it could have the influence on the course or result of the negotiations being conducted.

In opinion of the Issuer the postponement of the announcement of the above confidential information will not cause the misleading the general opinion and also the confidentiality of the above information was maintained until its disclosure.       

The content of the above confidential information will be transferred before 31st August 2015 that is assumed date of completion of the negotiations.

Raport 8/2015 P

„Management Board of Apator SA ("the Issuer") advises that it has decided to prolong the date of postponement of publication of confidential information dated 31st August 2015 till 14th October 2015 mentioned in the report  no. 5/2015 P on 1st June 2015.

On the day of transfer of this notification, the subjective negotiations has not been completed yet and the announcement of confidential information on negotiations conducted could possibly have negative influence on the course and result of the negotiations and therefore to infringe legitimate interest of the Issuer.

The postponement of transfer of the information will not cause the misleading the general opinion and the confidentiality of the above information will be maintained by the Issuer until its obligation is fulfilled.

The content of confidential information will be transferred by current report until 14th October 2015 that is assumed by the company date of completion of the negotiations.

On the day of transfer of this notification, the subjective negotiations has not been completed yet and the announcement of confidential information on negotiations conducted could possibly have negative influence on the course and result of the negotiations and therefore to infringe legitimate interest of the Issuer.
