The Management Board of Apator SA announces that on 19 December 2023, the Supervisory Board of Apator SA appointed Robert Kowalski to the Management Board of Apator SA for the current joint 3-year term of office, ending on the day of the Annual General Shareholders Meeting of Apator SA to be held in 2025.

Due to the above, the Management Board of Apator SA since 19 December 2023 has operated in the following three-person composition:

• Maciej Wyczesany – President of the Management Board,
• Łukasz Zaworski – Member of the Management Board,
• Robert Kowalski – Member of the Management Board.

Robert Kowalski, acting as the Member of the Management Board of Apator SA – Strategy Director of the Apator Group, will be responsible for:

• the execution of Apator Group's strategy, particularly with respect to Water and Heat segments,
• product integration of Apator Group's segments,
• co-management of the affairs of the Management Board of Apator SA.

Robert Kowalski is a graduate of the Faculty of Mechanical Engineering of the Gdańsk University of Technology, majoring in Thermal Power Engineering, and the Faculty of Management and Economics of the Gdańsk University of Technology, majoring in Production Systems Organisation. He also completed Postgraduate Studies in "District Heating and Heating with Energy Auditing" at the Faculty of Environmental Engineering of the Warsaw University of Technology and Postgraduate Studies in "Nuclear Power Engineering" at the Faculty of Power and Aeronautical Engineering of theWarsaw University of Technology. He is also qualified to be a member of the Supervisory Boards of state-owned companies.

Robert Kowalski has worked for more than 25 years in the heating and power industry, in particular in the field of organisational management, creating market and product development and leading investment activities.

From April 2015 to June 2023, Robert Kowalski managed EDF Toruń SA (later PGE Toruń SA) as President of the Management Board, where, among other things, he was responsible for the implementation of the change of heat generation technology from coal to gas (construction of a gas-fired CHP plant completed in 2017).

Robert Kowalski also held the following positions:

• Chairman of the Supervisory Board of  PGE Gaz Toruń Sp. z o.o.,
• Chairman of the Supervisory Board of TOREC Sp. z o.o.,
• Member of the Council of the Chamber of Commerce Polish District Heating

Robert Kowalski is the President of Regionalna Agencja Poszanowania Energii i Środowiska (the Regional Energy and Environment Conservation Agency) in Toruń.

Robert Kowalski does not conduct any activity that would be competitive to Apator SA, he does not participate in any competitive company/partnership as a partner of civil law partnership, partnership, he is not a member of any body of a competitive company and he does not participate in any other competitive legal person as a member of its body.

Robert Kowalski has not been registered with the Register of Insolvent Debtors, kept pursuant to the Act on the National Court Register.
