On 27th August 2020 the Supervisory Board of Apator SA adopted the resolution on appointment of Mr Tomasz Łątka to the Executive Board of Apator SA.

Mr Tomasz Łątka will take over his duties on 1st September this year and he will be responsible for management and development of the area covering the offer of Apator Group in the scope of automation of power grid operation.

Due to the above mentioned appointment since the 1st September 2020 the Executive Board of Apator SA will act in the following three members’ composition:

• Mirosław Klepacki - President of the Executive Board,
• Arkadiusz Chmielewski - Board Member,
• Tomasz Łątka - Member of the Board.

Mr Tomasz Łątka is a graduate of the Faculty of Mechanical Engineering at the University of Technology and Agriculture in Bydgoszcz. Moreover, he obtained the title of Master of Business Management at the Faculty of Economic Sciences and Management of Nicolaus Copernicus University in Toruń and completed postgraduate Executive MBA studies at the Warsaw School of Economics.

Mr Tomasz Łątka has been connected with Apator SA since 2003. At the beginning he worked as the constructor of switchgear in R&D department, then as the Product Manager and since 2010 he has been holding managerial positions. Currently he is the Leader of the Line of Switching Equipment responsible for its development and sales.  In 2017 he also joined the Executive Board of Apator Elkomtech SA and since 2018 he has been the President of the Executive Board of this company. Apator Elkomtech SA, the subsidiary of Apator SA, deals with design and manufacturing of remote supervision and control systems for power network elements. Moreover, since 2019 he has been the member of the Supervisory Board of Apator Rector Sp. z o. o., the subsidiary of Apator SA that is the manufacturer of IT products and services supporting and automating the service of business processes especially dedicated to network enterprises such as power engineering.

Apator SA, Apator Elkomtech SA and Apator Rector Sp. z o. o. operate within the Electricity segment of Grupa Apator.

Appointment to the Executive Board of Apator SA of the person responsible for the business of automation of network operation is the answer to the challenges and opportunities resulting from the progressive transformation of power sector directed to:

• dynamic development of "green energy" (including RES and energy clusters),
• a wider opening of the sector to ICT systems and advanced solutions.

The above changes imply intensified efforts to develop the widest possible offer for the power industry and other industries, responding to new market requirements and prospective sectors of the economy (e.g. photovoltaic market).

The Executive Board of Apator SA announces at the same time that due to the change of macroeconomic situation caused by ongoing pandemic the decision was made that planned merger of Apator Elkomtech SA and Apator Rector Sp. z o. o. will be subject to the re-analysis during the update of business strategy. Therefore, the merger at the beginning of 2021, which was announced by the Company in current report no. 64/2019 will not take place. However, all the time the optimization of processes in the Group are carried out and synergy is being deepened, especially in the segment of Electricity, hence the decision to appoint a new Member of the Executive Board responsible for Business Management of Network Automation in this segment.

Mr Tomasz Łątka does not run any competitive business to Apator SA, he is not in competitive company as a partner in civil partnership, personal partnership, he is not a member of the body of competitive capital company and he is not in any other competitive legal person as a member of its body.

Mr Tomasz Łątka is not entered in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register.
