The Executive Board of Apator SA announces that on 9th April 2014 Apator SA („Issuer”) and Bank Handlowy w Warszawie SA („Bank”) concluded the registered pledge agreement („Pledge”).

The pledge towards Bank was established for 14.005 shares of Przedsiębiorstwo Wdrożeń Postępu Technicznego Elkomtech SA with headquarters in Łódź („Elkomtech”) to the highest hedging amount                                                                                        of PLN 98, 4 m. It is the hedging for the repayment of debt by the Issuer due to long term bank loan granted for financing the acquisition of Elkomtech (current report no 17/2014 dated 19th March 2014).

Total nominal value of the shares pledged is PLN 700.250,00 (PLN 50,00 per share) and it is 100% of share in share capital of Elkomtech and 100% of total number of votes at its general shareholders meeting.

The Issuer points out that there are no connections between the Issuer and persons in management and supervisory bodies of the Issuer and the Bank (Pledger).

The criterion being the basis for the financial assets pledged to be considered as the assets of significant value is the total value of the shares of Elkomtech purchased that has exceeded the threshold of 10% of entities of the Issuer.

Legal basis: §5 para 1 point 1 of the Regulation of Minister of Finance dated 19th February 2009 regarding current  and regular information being transferred by the issuers of securities and conditions to be considered as  equivalent information  required by law of the country not being the member of the EU (Dz.U. No. 33 item 259 with later amendments).
