The Management Board of Apator SA (the ‘Company’) announces that it has concluded an agreement for the sale of real estate located in Toruń with a total area of 2.0902 ha for a total price of PLN 17.6 million net.

On the basis of an agreement concluded on 31 October 2025 with one of the development companies, the Company has:

• transferred the perpetual usufruct right to land with a total area of 1.670 ha in Toruń (precinct 49) for a price of PLN 12.7 million net,
• the sale of the ownership right to real estate with a total area of 0.4202 ha in Toruń (precinct 49), developed with a workshop and warehouse building with an area of 348 m2, for a net price of PLN 4.9 million.

The Company received a net deposit of PLN 1 million towards the price, with the remaining amount of PLN 16.6 million net to be paid by 3 November this year at the latest. The estimated impact of the transaction on the net result of the Apator Group will amount to approximately PLN 12 million, which will be reflected in the financial results for the fourth quarter of 2025 and for the entire financial year 2025.

The Management Board of Apator SA intends to allocate the above amount, among other things, to investments in machinery at the factory in Ostaszewo, which will allow it to take advantage of the zone relief resulting from operating in the Pomeranian Special Economic Zone and to service the temporarily higher working capital resulting from the preparation for the implementation of the Apator Group's concluded and planned contracts.

At the same time, the Management Board intends to maintain an attractive dividend policy. Therefore, the Management Board's recommendation regarding the dividend amount for 2025 will be announced to the public no later than in the second quarter of 2026.
