Further to Current Report 42/2013 dated 23rd December 2013 the Executive Board of Apator S.A. („Issuer”) announces that it satisfied one of the contingent conditions that have been defined in preliminary sales contract of the shares of Przedsiębiorstwa Wdrożeń Postępu Technicznego Elkomtech S.A. („Elkomtech”) with headquarters in Łódź concluded on 23rd December 2013 between the Issuer as the Buyer and natural persons as the Sellers („Preliminary Contract”).

The Issuer announces that on 7th March 2014 it received the decision of the President of the Office of Competition and Consumer Protection that permits to take the control over Elkomtech (decision no. DKK-23/2014 dated 27th February 2014).

The Issuer advises that in order to conclude the final contract of the sale of shares of Elkomtech it is necessary that two other contingent conditions to be satisfied as follows:

- change in manner and conditions of employment of the members of the Executive Board of Elkomtech;

- financial statement of Elkomtech for financial year ending on 31st December 2013 to be prepared and submitted by Elkomtech to the Issuer

 The Issuer will announce about the satisfaction of the above contingent conditions by separate report.

 The subject of Preliminary Contract is the obligation to conclude the final contract of sales of shares of Elkomtech, in result of it the Issuer on the closing date will acquire 14.005 registered shares of Elkomtech of total nominal value of 700.250 PLN being 100% shares in share capital of 100% of total number of votes and its general shareholders meeting.

(ii) §5 para 1 point 4 of the Regulation of Minister of Finance dated 19th February 2009 regarding current   and regular information being transferred by the issuers of securities and conditions to be considered as   equivalent information  required by law of the country not being the member of the EU  (Dz.U.33 item 259 with later amendments).
