The notification on exceeding the threshold of 5% of the total number of votes at the General Meeting of Shareholders of Apator SA
The Management Board of Apator SA (hereinafter referred to as ‘Company’) informs that 8 November 2017, it received the notification on exceeding the threshold of 5% in the total number of votes at the General Meeting of Shareholders in Apator SA, the notification being jointly submitted by the married couple – Kazimierz and Zdzisława Piotrowscy (hereinafter referred to as ‘Notifiiers’).
The Notifiers informed that the said exceeding occurred due to the conversion of 30.000 preferred registered shares in the proportion of 1:4 into bearer shares, the conversion being effectuated by the Company 14 January 2014, as a result of which what decreased was the overall number of votes at the General Meeting of Shareholders, the exact decrease being from 56.369.418 to 56.279.418.
Before the conversion was effectuated, the Notifiers jointly owned 823.955 of the shares of the Company, which entitled them to 2.818.277 votes at the General Meeting of Shareholders, which amounted to
2,4888% of the share capital and to 4,9997% of share in the total number of votes at the General Meeting of Shareholders of the Company.
Currently, the Notifiers jointly own 833.955 shares of the Company entitling them to
2.858.277 votes at the General Meeting of Shareholders of the Company, which constitutes 2,5190% of share in the share capital of the Company and 5,1573% of share in the total number of votes at the General Meeting of Shareholders of the Company.
The Notifiers indicated the fact that there are no other business entities related to the shareholders submitting the notification, with the entities owning the shares of the Company; nor, are there any persons referred to in the article 87 of Act 1, point 3, letter (c) of Public Offering Act.
