The Management Board of Apator SA hereby announces that it has received notification from Tadeusz Sosgórnik, a member of the Supervisory Board of Apator SA, regarding the purchase of 20,000 registered shares in Apator SA on 19 May 2025.

The Management Board of Apator S.A. announces that on 5 May 2025 it was informed that the bid submitted by its subsidiary, Apator Metrix S.A., had been selected as the most advantageous in eight lots forming part of the tender for the supply of bellows-type gas meters with data transmission functionality to Polska Spółka Gazownictwa sp. z o.o. ("PSG") – the eGazomierz project.

The value of the bid is PLN 134.4 million, and delivery is to take place by 30 September 2026. The tender conditions provide for an option to increase or decrease the order by up to 20%.

As the procedure was conducted as a non-public procurement, PSG stipulated that no protests or appeals may be lodged. In view of the above, contracts for individual tasks will be concluded within 30 days of receiving notification of the tender award.

The eGazomierz project, launched by PSG, involves the replacement of gas meters at customers classified in tariff group 3 with smart gas meters equipped with a remote data transmission function, which enables remote reading and allows for the ongoing monitoring of gas consumption via a dedicated app.

The Management Board of Apator SA announces that on 28 March 2025 it entered into a contract with Energa-Operator SA for the supply of remotely read electricity meters with a prepayment function. The net value of the contract is PLN 28.8 million, with deliveries scheduled for 2025 and 2026. The terms of the contract include provisions regarding contractual penalties, in particular for delays in the delivery of batches of equipment or the failure to rectify defects within the warranty period.

Remote-reading meters that also offer a prepayment function are innovative devices that facilitate control over energy consumption; they operate on a pre-paid basis, i.e. after prior top-up.

The Management Board of Apator SA hereby announces that it has received notification from Janusz Marzygliński, a member of the Supervisory Board of Apator SA, regarding the sale of 7,851 bearer shares in Apator SA between 19 and 21 March 2025.

The Management Board of Apator SA announces that its subsidiary, Apator Rector Sp. z o.o., has entered into a contract with Tauron Dystrybucja SA (“TD”) worth PLN 45 million net. The agreement concerns the provision, between 2025 and 2028, of maintenance, support and development services for the Network Asset Management (ZMS) IT system implemented at TD.

The terms of the agreement do not differ from those commonly used in agreements of this type, including in respect of contractual penalties.

The Network Asset Management System supports the Distribution System Operator’s operations in the area of comprehensive infrastructure and business process management, and also serves as a comprehensive, digitised database of network information.

Further to Current Report No. 28/2024, the Management Board of Apator S.A. announces that on 7 March 2025 it entered into a second contract for the supply of Concentrator and Balancing Units (ZKB) with Energa - Operator SA, for the purposes of continuing the MV/LV substation metering project.

The net value of the contract is PLN 10.4 million, with delivery scheduled for the turn of 2025 and 2026. The terms of the contract do not differ from those commonly used in contracts of this type, including in respect of contractual penalties.

The Management Board of Apator SA hereby announces that it has received notifications from Tadeusz Sosgórnik and Janusz Marzygliński – members of the Supervisory Board of Apator SA – regarding the purchase/sale of 10,000 registered shares in Apator SA on 28 February 2025.

The Management Board of Apator SA (the “Issuer”) announces that on 11 February 2025 it entered into a technology partnership agreement (the “Agreement”) with RITTAL GmbH & Co. KG (“RITTAL”), a company belonging to the globally operating industrial group Friedhelm Loh Group.

The cooperation between the Parties also covers the design and manufacture by Apator S.A. of a range of switch disconnectors, together with optional electronic modules for monitoring the status of fuse links. The switch disconnectors are designed for low voltage switchgears and ensure compatibility of the equipment with RITTAL’s RiLineX system. Sales will be carried out on the basis of current orders. The Management Board estimates that in 2025, projected revenues may amount to several million zlotys, with the prospect of a gradual increase in subsequent years.

RITTAL, based in Herborn, Hesse (Germany), is a global system supplier of, amongst other things, control cabinets, power distribution systems, IT infrastructure, software and services, and its solutions are used across all industrial sectors.

In the Issuer’s view, membership of the RITTAL partner network is of significant importance from the perspective of implementing the announced business strategy for the switchgear product line (reported in the Electricity segment) and the investments undertaken by the Issuer. This cooperation will enable the launch of an innovative fuse switch disconnector designed by Apator – a product used in RITTAL’s comprehensive solutions.

Furthermore, as one of the key partners and the sole supplier of NH-type fuse links for the RiLineX system, Apator is participating in the development of a joint offering based on the latest market requirements, enabling increased brand and product recognition.

Further to Current Report No. 1/2025, the Management Board of Apator SA announces that on 28 January 2025 it entered into an agreement with Enea Operator sp. z o.o. ("the Client") to establish an innovation partnership.

The agreement comprises four implementation stages, the aim of which is to develop an innovative 1- and 3-phase remote-reading electricity meter that meets all the requirements and features specified by the Client (Stages I and II), to obtain the required certification (Stage III), and subsequently to manufacture and supply the meters together with communication modules (phase IV).

The value of the contract, in accordance with the tender terms, amounts to PLN 62.3 million, assuming the completion of the three earlier stages of the contract. Deliveries of the meters are expected to commence at the turn of 2025 and 2026. In accordance with the Ordering Party’s requirements, Apator SA has provided a 72-month warranty for the supplied meters.

Furthermore, the Contracting Authority provides, within the scope of the concluded Contract, for the possibility of purchasing an additional total of approximately 2.4 million meters from the contractors selected in the tender by 2030.
